1. Acceptance of Terms

By accessing and using Clarity ("the Service", "the Application", "we", "our"), you agree to be bound by these Terms and Conditions of Use ("Terms"). If you do not agree with any part of these terms, you must not use our Service.

IMPORTANT: By using the Service, you accept these Terms and our Privacy Policy. We recommend that you print or save a copy of these Terms for your future reference.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Service" or "Services": Refers to the Clarity application, including the website, mobile applications, and all functionalities, features and services offered through them.
  • "Site" or "Sites": Refers to Clarity websites, including but not limited to clarity.cr and any subdomain or mobile version.
  • "Application" or "Applications": Refers to Clarity mobile applications available in app stores.
  • "User", "you", "your": Refers to the person who accesses or uses the Service.
  • "We", "our", "Clarity": Refers to Clarity and its affiliates, operators and service providers.
  • "Account": Refers to the user account created to access the Service.
  • "Financial Data": Refers to information about transactions, bank accounts, bank statements and any other personal financial information.
  • "Bank Statements": Refers to bank documents (PDF, XLS, XLSX) that contain financial transaction information.
  • "Magic Link": Refers to secure one-time use links sent by email for passwordless authentication.

3. Service Description

Clarity is a personal financial management application designed for users in Costa Rica. The Service allows:

  • Import and organize financial transactions from bank statements
  • Categorize and tag transactions
  • Visualize financial analysis and trends
  • Set financial goals and make projections
  • Manage multiple bank accounts and credit cards
  • Automatically convert between colones (CRC) and dollars (USD)

4. Registration and User Account

4.1 Eligibility

To be eligible to use the Service and create an account, you must:

  1. Be a legal resident of Costa Rica (or have authorization to use financial services in Costa Rica)
  2. Be 18 years of age or older and have the legal capacity to enter into binding contracts
  3. Not be prohibited by law or by these Terms from using the Service
  4. Provide accurate and complete information during registration

Please note that additional eligibility criteria may apply to certain services or functionalities. It is your responsibility to ensure that you meet all the minimum eligibility criteria established.

4.2 Registration

To use the Service, you must first register and create a Clarity account by completing the registration form available on the Site or Application. You only need to register once.

You can create an account using:

  • Magic Link by email: Enter your email and you will receive a secure access link
  • OAuth: Google, Microsoft, or Apple

Important: We do not use traditional passwords. Access is through secure links sent to your email (Magic Link) or through verified OAuth providers.

4.3 Accuracy of Information

You agree to provide us with accurate, complete and up-to-date information, including:

  • Valid email address
  • First and last name
  • Any other information required during registration

It is your responsibility to keep this information updated. If you provide false, inaccurate or outdated information, we reserve the right to suspend or terminate your account.

4.4 Information Verification

You authorize Clarity, directly or through third parties, to make any inquiries we consider necessary to verify your identity and the information you provide. This may include email verification and other security measures.

Your account may require email verification. Until you verify your email, some functionalities may be limited.

4.5 Account Responsibility

You are responsible for:

  • Maintaining the security of your email account (since access links are sent there)
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring that your contact information is up to date
  • Not sharing access links (magic links) with third parties

5. Use of the Service

5.1 Permitted Use

You may use the Site and Service only for:

  • Personal and non-commercial use: Personal or business financial management
  • Analysis of your own transactions: Analysis of your own financial transactions
  • Legal purposes: Only for legal purposes and in accordance with these Terms

Any use of the Site or Service in violation of the law is strictly prohibited.

5.2 Prohibited Use

You must not, and agree not to:

  • Attempt to access other users' accounts or information
  • Use the Service for illegal, fraudulent or unauthorized activities
  • Attempt to breach, circumvent or disable any security measure of the Service
  • Reverse engineer, decompile or disassemble any part of the Service
  • "Scrape" or store content from the Site on a server or storage device connected to a network, or create an electronic database by systematically downloading and storing all content
  • Remove or change any content from the Site or attempt to circumvent security or interfere with the proper operation of the Site or the server on which it is hosted
  • Send spam, malicious content, viruses, trojans or malicious code
  • Overload our servers with excessive or automated requests
  • Use bots, automated scripts, scrapers or similar tools without express authorization
  • Use the Service in a way that may damage, disable, overload or compromise our servers or networks
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems or networks connected to the Service
  • Use the Service to compete with us or develop similar products or services

5.3 Usage Limits

We reserve the right to:

  • Limit the number of requests per user
  • Implement rate limiting to protect the Service
  • Suspend or terminate accounts that violate these Terms
  • Monitor Service usage to detect suspicious activity or violations

6. Security

6.1 Your Security Responsibilities

You must take all reasonable precautions to keep your Clarity account secure at all times, including:

  • Protect your email: Since access links (Magic Links) are sent to your email, it is your responsibility to keep your email account secure
  • Do not share access links: Magic Links are single-use and personal - never share them with third parties
  • Protect OAuth providers: If you use OAuth (Google, Microsoft, Apple), it is your responsibility to keep the credentials for those services secure
  • Notify unauthorized use: You must notify us immediately if you suspect your account has been compromised or if there is unauthorized activity
  • Log out: You must log out on shared or public devices
  • Keep information updated: You must keep your contact information updated so we can communicate with you about security

6.2 Our Security Measures

We may, from time to time, with or without prior notice, temporarily suspend the operation or access to any aspect of the Service if we believe there has been:

  • Unauthorized access to your account
  • Fraudulent or suspicious use of the Service
  • Violation of these Terms
  • Activity that may compromise the security of the Service or other users

In such cases, we will notify you when reasonably possible and work with you to resolve the issue.

7. Financial Data and Privacy

7.1 Data Ownership

You retain all rights to your financial data. By using the Service, you grant us a limited license to process, store and analyze your data solely to provide the Service.

7.2 Data Processing

Your financial data is processed to:

  • Import and organize transactions
  • Generate analysis and reports
  • Provide Service functionalities
  • Improve categorization accuracy

7.3 Storage

Your data is stored securely using:

  • Encrypted databases
  • Cloud storage with encryption at rest
  • Technical and organizational security measures

8. Bank Statement Import

8.1 Import Methods

You can import transactions by:

  • Sending bank statements by email
  • Manual file upload (PDF, XLS, XLSX)
  • Manual transaction creation

8.2 Automatic Processing

Bank statements are automatically processed by our analysis system. We do not guarantee:

  • 100% accuracy in data extraction
  • Support for all bank statement formats
  • Immediate processing in all cases

8.3 Verification

It is your responsibility to verify that imported transactions are correct. You can edit, categorize and correct any transaction.

9. Third-Party Account Information

9.1 Authorization to Access Third-Party Information

To use the Service, you may authorize Clarity to access information from bank and financial accounts you maintain with third parties (banks, financial institutions, etc.). This information may include:

  • Transaction history
  • Balance information
  • Account details
  • Bank statements
  • Any other relevant financial information

9.2 Access Methods

You can provide this information by:

  • Sending bank statements by email: Sending bank documents to your personalized ingestion email address
  • Manual file upload: Uploading PDF, XLS or XLSX files directly
  • Manual creation: Entering transactions manually

9.3 Authorization and Consent

By providing third-party account information, you:

  • Authorize access: Authorize Clarity to access, process and store this information
  • Confirm ownership: Confirm that you have the legal right to access and share this information
  • Accept responsibility: Accept responsibility for the accuracy of the information provided
  • Acknowledge limitations: Acknowledge that we do not guarantee absolute accuracy of processed information

9.4 Use of Information

We use this information to:

  • Provide the services you request
  • Generate financial analysis and reports
  • Improve our services and algorithms
  • Detect patterns and trends

9.5 Information Accuracy

We do not guarantee the accuracy, completeness or timeliness of information obtained from third parties. It is your responsibility to verify that imported transactions are correct. You can edit, categorize and correct any transaction at any time.

10. Service Availability

10.1 Availability

We strive to keep the Service available, but we do not guarantee:

  • Continuous, uninterrupted or error-free availability
  • That certain features, parts or content of the Site, or the entire Site, will always be available
  • Specific processing times for bank statements or transactions
  • That the Service will work on all devices or browsers

There may be times when certain features, parts or content of the Site, or the entire Site, are not available due to maintenance, updates or circumstances beyond our control.

10.2 Maintenance

We may perform scheduled or emergency maintenance that may result in temporary Service interruptions. We will try to notify you in advance when possible, but we do not guarantee advance notice for emergency maintenance.

10.3 Service Modifications

We reserve the right to:

  • Modify, suspend or discontinue any part of the Service at any time
  • Change existing functionalities or features
  • Implement new functionalities
  • Limit or restrict access to certain features

10.4 Terms Modifications

We reserve the right to modify these Terms at any time. We will notify you of significant changes:

  • By publishing the revised Terms on the Site with an updated "Last updated" date
  • By email to the address registered in your account (for material changes)
  • Through the application via visible notifications

Your continued use of the Service after the revised Terms are published constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service and may cancel your account.

11. Fees and Payments

11.1 Current Fees

Currently, Clarity may be available in beta mode or with free plans. Any changes to fees will be communicated in advance.

11.2 Billing

If we implement fees:

  • They will apply according to the selected plan
  • Payments will be processed securely
  • Fees are non-refundable unless otherwise indicated

12. Intellectual Property

12.1 Our Property

The Service, including but not limited to:

  • Software and source code
  • Design and user interface
  • Trademarks and logos
  • Documentation
  • Content, text, data, graphics, photographs and images
  • Videos, sounds, service marks, designs, icons and logos

Are property of Clarity and are protected by intellectual property laws, including copyright, trademarks, trade secrets and other intellectual property laws.

12.2 Your Content

You retain all rights to your financial data and content that you provide. By providing content to the Service, you grant us a worldwide, non-exclusive, royalty-free and transferable license to use, reproduce, modify, adapt, publish, translate and distribute such content solely to provide and improve the Service.

13. Prohibited Activities

Prohibited activities are detailed in Section 5.2 (Prohibited Use). Any violation of these prohibitions may result in immediate suspension or termination of your account.

14. Effect of Breach

If you breach these Terms in any way, we reserve the right to:

  • Suspend your access to the Service temporarily or permanently
  • Terminate your account without prior notice
  • Delete or block content that violates these Terms
  • Take legal action as appropriate
  • Report illegal activities to the competent authorities

Breach of these Terms may result in irreparable harm to us, and you agree that we may seek injunctive relief or other equitable remedies without the need to provide a bond or guarantee.

15. Suspension and Termination

15.1 Termination by You

You may cancel your account at any time:

  • Through the application: Use the account settings options
  • By email: Contact us at contact@clarity.cr

Upon cancellation, you will immediately lose access to your account and data. See our Privacy Policy for more details on what happens to your data after cancellation.

15.2 Termination or Suspension by Us

We may suspend or terminate your access to the Service, at any time, with or without cause or prior notice, if:

  • You violate these Terms or our Privacy Policy
  • You use the Service in a fraudulent, illegal or unauthorized manner
  • You do not pay applicable fees (if we implement fees in the future)
  • For security reasons or to protect other users
  • For suspicious activity or activity that may compromise the integrity of the Service
  • If your account remains inactive for an extended period (according to our policies)

15.3 Effects of Termination

Upon termination or suspension of your account:

  • Immediate access: You will immediately lose access to your account and data
  • Data deletion: We may delete your data according to our Privacy Policy
  • Continuing obligations: Provisions of these Terms that by their nature must survive (including limitation of liability, indemnification, and dispute resolution) will continue in effect after termination

16. Limitation of Liability

16.1 General Limitation

To the maximum extent permitted by applicable law:

  • We will not be liable for indirect, incidental, special, consequential, punitive or exemplary damages
  • Our total liability is limited to the amount you have paid for the Service in the last 12 months (or $100 USD, whichever is greater, if the Service is free)
  • We are not liable for data loss, loss of profits, loss of business opportunities, or damage to reputation

16.2 Financial Decisions

IMPORTANT: We are not responsible for financial decisions made based on the Service, analysis, reports or information provided. The Service is a financial management tool, not financial, legal or tax advice. You should always verify important information and consult with qualified professionals when appropriate.

16.3 Third-Party Services

We are not responsible for:

  • Third-party services: Banks, OAuth providers (Google, Microsoft, Apple), cloud storage services, or any other service provider
  • Format changes: Changes in bank statement formats that may affect processing
  • Connectivity issues: Internet connectivity problems, third-party service interruptions, or technical problems beyond our control
  • Third-party data accuracy: The accuracy, completeness or timeliness of information obtained from third parties

16.4 Document Processing

We do not guarantee:

  • 100% accuracy in extracting data from bank statements
  • Support for all formats of bank statements
  • Immediate processing in all cases
  • Absence of errors in automatic categorization

It is your responsibility to verify and correct any imported transaction.

17. No Legal, Tax, or Financial Advice

17.1 Nature of the Service

IMPORTANT: Clarity is a personal financial management tool. The Service provides:

  • Organization and analysis of your financial transactions
  • Visualization of spending trends and patterns
  • Categorization and tagging tools
  • Projections and analysis based on historical data

17.2 Does Not Constitute Advice

The Service does NOT constitute, and should not be interpreted as:

  • Financial, investment, legal or tax advice
  • Recommendations on financial products
  • Suggestions on investment decisions
  • Tax planning advice
  • Legal recommendations

17.3 Your Responsibility

You are responsible for:

  • Verifying the accuracy of all information provided
  • Consulting with qualified professionals (accountants, financial advisors, lawyers) when appropriate
  • Making your own financial decisions based on your judgment and professional advice
  • Not relying solely on the Service for important financial decisions

17.4 Alerts and Notifications

Any alert, notification or suggestion provided by the Service is for informational purposes only and does not constitute professional advice. You should always verify important information and consider consulting with qualified professionals.

18. Disclaimer of Warranties

18.1 Service "As Is"

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, completeness or timeliness of information
  • Continuous, uninterrupted or error-free operation

18.2 Specific Limitations

We do not guarantee that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure or error-free
  • Results obtained from using the Service will be accurate or reliable
  • Any error in the Service will be corrected
  • The Service will be free of viruses or other harmful components

19. Indemnification

You agree to indemnify and hold harmless Clarity, its employees, directors and affiliates from any claim, damage, loss, liability and expense (including legal fees) arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of third-party rights
  • Unauthorized use of your account

20. Dispute Resolution

20.1 Informal Resolution

Before initiating any formal proceeding, you and Clarity agree to attempt to resolve any dispute informally by contacting us first. We commit to working in good faith to resolve any dispute.

20.2 Jurisdiction

Any dispute that cannot be resolved informally will be resolved in the competent courts of Costa Rica, and you and Clarity agree to submit to the exclusive jurisdiction of such courts.

20.3 Time Limitation

Any claim you have against us related to the Service must be filed within one (1) year after the claim arises, or it will be considered waived and permanently barred.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Costa Rica. Any dispute will be resolved in the competent courts of Costa Rica.

22. General Provisions

22.1 Complete Agreement

These Terms, together with our Privacy Policy, constitute the complete and exclusive agreement between you and Clarity regarding the use of the Service and replace all prior agreements, communications and understandings, whether oral or written.

22.2 Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable by a competent court, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid, legal and enforceable.

22.3 Waiver

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.

22.4 Assignment

You may not transfer, assign or sublicense these Terms or any right or obligation set forth herein without our prior written consent. We may transfer, assign or delegate these Terms and our rights and obligations without restriction.

22.5 Survival

The following sections will survive termination of these Terms: Limitation of Liability, Disclaimer of Warranties, Indemnification, Dispute Resolution, and any other provision that by its nature must survive.

22.6 Notifications

Notifications we send you may be by email to the address registered in your account or through notifications in the application. Notifications will be deemed received when sent or published.

22.7 Relationship of the Parties

Nothing in these Terms creates an agency, partnership, joint venture or employer-employee relationship between you and Clarity.

23. External Links

The Service may contain links to third-party websites that are not owned or controlled by Clarity. We have no control over, and assume no responsibility for, the content, privacy policies or practices of third-party websites. By clicking on an external link, you agree that you do so at your own risk.
